Referral Terms & Conditions
This TUIO Referral Program Agreement (“Agreement”) is entered into by TUIO and the referring party (“Member”). This Agreement sets the terms which govern our referral program (“Referral Program”).
Members should read this Agreement carefully before participating in our Referral Program. By participating in our Referral Program, Members confirm they have read and understand this Agreement and agree to comply with its terms. If a Member does not agree to the terms of this Agreement, they must not participate in TUIO’s Referral Program.
Definitions
“Members” are active participants of the Referral Program who operate in compliance with the terms outlined in this Agreement.
“Eligible Referrals” are anyone recommended by the Referral Program who signs up for a TUIO Starter or TUIO Professional paid plan as a new customer.
“Ineligible Referrals” include self-referrals, existing or former TUIO customers, or employees from an existing company in TUIO’s database.
“Valid Sales” are completed sales of TUIO Services transacted by an Eligible Referral.
“Referral Rewards” are monetary rewards offered to Members as part of the Referral Program.
Program Overview
Members participate in the Referral Program by submitting their referrals through the provided form. A Valid Sale transacted by an Eligible Referral must always originate from a Member’s referral to qualify for Referral Rewards.
Referral Program Rewards
Referral Rewards are issued to Members in accordance with the guidelines in this Agreement. The referral bonus will be processed and paid out within 20 business days, starting from 6 months after the client launch date for both Starter and Professional plans.
For smaller referrals of 50 students or less, TUIO may, at its sole discretion, revise the referral reward downward.
If an Eligible Referral signs up with a discount greater than 20% off TUIO’s standard pricing, TUIO reserves the right to revise the referral reward downward to reflect the reduced pricing or void the reward entirely. These adjustments will be determined at TUIO’s sole discretion and communicated to the Member accordingly.
Prohibited Uses
Members may only use our Referral Program in good faith for lawful purposes. Members may not:
- Use alternative contact information to refer themselves or others who have created duplicate accounts;
- Use the Referral Program in any way that breaches applicable local, national, or international law or regulations;
- Transmit any unsolicited or unauthorized advertising or promotional material or any other form of similar solicitation that can be considered as damaging to TUIO; or
- Do anything that can be seen as damaging to TUIO.
Abuse of the Referral Terms
TUIO has the right to refuse Members the Referral Reward if it sees valid reason to believe the Member has not used the Referral Program in good faith or has breached this Agreement.
Limitation of Liability
TUIO accepts no liability for any use of the Referral Program that does not comply with this Agreement.
Changes to the Referral Program
TUIO reserves the right to:
- Change or update the terms of the Referral Program, this Agreement, and the Referral Reward at any time, without notice;
- Revoke a Member’s account or terminate a Member’s participation in the Referral Program; or
- Terminate the Referral Program at any time, without notice.
In the event the Referral Program is terminated, TUIO will transfer any pending Referral Rewards that were earned by Members prior to the termination date.
TUIO also reserves the right to modify or discontinue the reward altogether for referrals who cancel services within 6 months from launch, do not demonstrate sufficient account activity / usage, or do not launch their TUIO account within 6 months from signing up. These decisions are at TUIO’s sole discretion.
Applicable Law
This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation, including non-contractual disputes or claims, shall be governed by and construed in accordance with the law of the province of Ontario, Canada. Notwithstanding the foregoing, this Agreement shall not prevent any party from complying with all applicable laws in the jurisdictions in which the Members operate.
